REPORT FROM THE FRONT LINES
Practical Guidance on Writing the New
Compensation Disclosures

Companies are encountering unexpected pitfalls and ambiguities in crafting their 2007 compensation disclosures under the new SEC rules. Pearl Meyer & Partners (PM&P) will co-host a complimentary webcast February 6, in association with the National Association of Corporate Directors (NACD), which will provide practical guidance on key emerging issues in the reporting of executive compensation. The session will be based on PM&P's recent experience crafting Compensation Discussion & Analyses (CD&A).

Issues to be discussed will include:

  • Incorporating the SEC's last-minute changes to the stock-based reporting rule
  • Finding the right language to explain programs without resorting to boilerplate
  • Determining at what point program information provided in both the CD&A and tables becomes redundant
  • Frequently Asked Questions from the front lines, culled from PM&P's experiences
