Beyond technical compliance with revised proxy disclosure rules, the SEC wants companies to aim for truly meaningful, clear and in-depth explanations of corporate pay programs to shareholders. Companies' experiences going into the second proxy season suggest that disclosure remains a work-in-progress.

This session will examine how companies and the SEC are negotiating some of the key issues and difficulties in satisfying demands by regulators and investors for more and better information on compensation, particularly in regard to sensitive areas such as target disclosure. Additionally, an analysis of proxy disclosures by 50 early filers will provide a preview of 2008 trends.
